My 94 Camry coupe is in the shop and the tech says the trans is going into fail safe mode, so my questions are. 1. would that show up as a trouble code. 2. what does it take to troubleshoot a overdrive gear problem,IE, not going into overdrive?
The COMPUTER is what goes into fail-safe mode, and that in turn retards timing and enriches the fuel mixture. For an automatic, it probably changes something there too.
get the ECU scanned for free at Autozone. they will tell you all the codes (including pending ones) and may give you short descriptions for them too.
it will help in pinpointing the root cause of the problem. ECU (Engine Control Unit) or ECM (Engine COntrol Module) manages all the circuits including the transmission. so as above tranny itself won't go into limp mode, but the ECU can if there is for instance missing input from a critical sensor like MAP or ECT.

Ok I took it to auto zone and there is no codes, I did replace the battery that went bad and now the car will shift into O/D but when I come off the gas the trans jumps in and out of OD with jerking motions, and is slow to engage in first from a stop,?
i would drain & refill both transmission and the differential at this point.
since you have no trouble codes, then the ECM is operating normally and same should do the tranny.

I just got the car back from having the trans rebuilt and I suspect that they only flushed the old one out, could the tourque converter cause this issue with the O/D. the fluid was very dark when I first brought it to them this shop has an "F" rating with the better bussniss commission. To me it seems like a lack of fluid flow through the O/D valve or something like that.
You guys have to remember that the 94 1MZ is only partially OBDII compliant, so it won't have that many codes. I'm not sure what codes are available.
Your transmission is on its way out. You can lengthen its life a little by locking out O/D in city driving. Unfortunately, there's no stopping clutch pack wear at this point. New fluid will cause even more slippage.
EDIT: I see you've had it rebuilt. How's the shifting?

sounds like it may be a bad TQ converter if its slippin in first. if there is an issue with O/D then the O/D light will typically come on and stay on. around 60 is when the TQ converter starts to lock in third...unlock into O/D.....lock in O/D. at least thats what mine does. TQ converter problems dont often trip a code either. I had issues on my 95 V6 with the converter and never a single code.

I'm pretty sure it tracks it, at least enough to set the light : i.e. if the t/c lock up clutch slips, it knows the shaft in/shaft output speed and knows the lockup has failed and will trigger a cel blink but as noted may not store a code. Its pretty limited.
What did you pay for this "transmision rebuild?"
Figure the tranny kit of seals, o-rings, gaskets, teflon, ect = $200 up
Any friction clutch plates/steel plates, clutch bands = $200 up
Torque converter = $150 up
Any additional hard parts, planets, gears, shafts, misc bushings, filters, screens, solenoids, ect $add, $add, $add
Labor = $500 plus plus plus.....
So at a min. with the barest of needs roughly (USD) $1050 and that's $cheap$!

I paid 995 for the rebuild, thats instaled with a rebuilt T/C. found out later this shop has a "F" rating with the better busniss commission. Im the dumb ass for that. I think its the T/C because as long as im accelerating in O/D it will stay in gear, but as soon as I decellerate it jumps in and out of O/D.
