the dealer is asking 40995$ canadian
what price can i trie to offer? toyota offering 3000$ if i pay cash , which i plan to do

Depends on what extras are installed. Also, does this include freight and delivery, or is that on top? Don't let them use the $3 K manufacturer offer as an excuse for not lowering the price...that comes from Toyota Canada and does not come out of their pocket.
I paid less than $40 K before taxes and delivery for my 09 Sport...brand NEW, and it had to be ordered...it wasn't inventory on the lot that they were trying to move.
EDIT: Also, you may want to invest a few bucks and get a dealer cost quote from Car Cost Canada....at least this will give you an idea of the dealer cost on a NEW 2010 HL, then you can work back from there. I use this service every time I buy a car and the $30 or so saves me thousands.

Presuming freight is already in the price, I think that would be my offer as well, but I would assume that the $3,000 from Toyota Canada would come off that price, so bring you closer to $35 K. If not, I would walk away, especially given it is a demo and you don't know how hard it was driven by dealer staff or people who test drove it. Good luck.

Why would you have to consider freight ? Just curious. This is a Demo. The HL is used. Offer them 32K. see what they say. They are the ones trying to sell something they no longer want. just mo.

Take my advice on this and see what happens. Go to Overstock.com, click the link for cars on top. You can select the HL, throw in the options. They will calc the best deal and throw 3 dealers links at you and show the price. They will not tell you the dealer names but show you how many miles away they are from your house. You can do the math and figure out who is who. I did that copied to paper and walked in. I asked them if they want me to hit the enter button and let all 3 dealers fight for my business? They said, please don't it will cost the dealership 300 bucks if they sell to you. Anyway, I let them scratch their heads trying to come up with a price that was about 6K off the sticker. Yup, 6K and no haggle, it was all in black n white. Got my deal and felt like I really got a great price. Give it a try because the $40995 price is making me choke.
You have nothing to lose, Overstock is not like some buy-clubs where you need to join. I'll bet you can get new cheaper than that price they want.

Presuming the OP doesn't want to deal with the hassle of buying a car in the US and taking it back to Canada, then, unfortunately, this is not an option for him.

called for the demo but it was sold , dealer dint want to give me the selling price but offer me a new one for 44500$ + tax , told him it was too expensive then he offer me to remove 3000$ if i pay cash, i replied that its a toyota promotion, he say no no dealer and toyota are the same thing.

Go to another dealer. He's trying to screw you quite frankly. If there is a $3000 incentive from Toyota, then that has nothing to do with the dealer. It does not come out of their pockets. They are still making their mark up. Toyota Canada covers the $3000 discount.
As said in the PM I sent you already, formula I used is invoice (via car cost canada) + % markup (I used between 2-3% although you may be able to to better with one sitting on lot) + freight + taxes - $3000 cash back (presuming cash back is after taxes).
