Steel wheel to Alloy Wheel

My wife's 2005 Matrix has stock 16" Steel wheels right now. I can get my hands on 17" Alloy wheels that were sold on the higher end Matrix.

My question, the stock 16"'s hae an offset of 40mm but the 17"s have a 45mm will this be an issue?

My 2005 Matrix came with 16" alloy rims.

They are all OEM rims, all of which are interchangeable.

Currently I'm running on 18" (well in the summer that is), non-stock.

No, they'll look like the matrixes with the OEM 17's. Many of us have upgraded from 17's to 18's with an 8" wide rim and 35 offset. This brings the wheels out closer to the edge of the body and gives the car a more solid appearance.
